Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Nulliallob website or enrolling in our courses and services.

1. Agreement to Terms

By accessing or using our website, enrolling in our courses, or purchasing our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our website or use our services.

2. Use of Our Services

2.1 Eligibility

You must be at least 18 years of age or have the consent of a parent or legal guardian to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

2.3 Account Security

You are responsible for safeguarding the password that you use to access our services. You agree not to disclose your password to any third party and to immediately notify us of any unauthorized use of your account.

3. Course Registration and Payments

3.1 Course Fees

The fees for our courses and services are listed on our website. All fees are in Canadian dollars and do not include applicable taxes unless otherwise stated.

3.2 Payment Terms

Payment for courses must be made in full at the time of registration unless otherwise specified. We accept payment through the methods indicated on our website.

3.3 Refund Policy

Refunds are handled according to the following guidelines:

• Cancellations made more than 30 days before the course start date: Full refund minus a $50 administrative fee.
• Cancellations made 15-29 days before the course start date: 50% refund.
• Cancellations made less than 15 days before the course start date: No refund.

3.4 Course Rescheduling

If you need to reschedule your participation in a course:

• Rescheduling requests made more than 15 days before the course start date: No fee.
• Rescheduling requests made less than 15 days before the course start date: $100 rescheduling fee.

4. Course Attendance and Completion

4.1 Attendance Requirements

Participants are expected to attend all scheduled sessions. We do not provide makeup sessions for missed classes unless otherwise specified in the course description.

4.2 Course Materials

Course materials provided to you are for your personal use only. You may not reproduce, distribute, or create derivative works based on these materials without our express written consent.

4.3 Course Completion Certificate

Certificates of completion will be issued only to participants who meet the attendance and participation requirements specified for each course.

5. Intellectual Property

5.1 Website Content

The content on our website, including text, graphics, logos, images, audio clips, digital downloads, and data compilations, is our property or the property of our content suppliers and is protected by Canadian and international copyright laws.

5.2 Trademarks

The SpeakConfident name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks or registered trademarks. You may not use these marks without our prior written permission.

5.3 User-Generated Content

By posting content on our website or during our courses, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

6. User Conduct

You agree not to engage in any of the following prohibited activities:

• Using our services for any illegal purpose or in violation of any local, provincial, national, or international law.
• Harassing, abusing, or threatening others.
• Impersonating any person or entity or falsely stating or misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting our services.
• Engaging in any activity that could damage, disable, overburden, or impair our servers or networks.
• Attempting to gain unauthorized access to any part of our services.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Nulliallob, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services.
• Any conduct or content of any third party on our services.
• Any content obtained from our services.
• Unauthorized access, use, or alteration of your transmissions or content.

8. Disclaimer

Our services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the operation of our services or the information, content, or materials included therein.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nulliallob, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) that arise from or relate to your use or misuse of our services or violation of these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes through our website or by sending an email to registered users. Your continued use of our services after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by them.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to mediation in Toronto, Ontario. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in accordance with the rules of the ADR Institute of Canada.

13. Entire Agreement

These Terms constitute the entire agreement between you and Nulliallob regarding our services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our services.
